Section 1
These Terms of Service ("Terms") constitute a legally binding agreement between you and Telecity Technologies Ltd ("NaijaBase", "we", "us", or "our"), governing your use of the NaijaBase platform and related services.
By creating an account, accessing our platform, or using any NaijaBase service, you confirm that you:
If you do not agree with any part of these Terms, you must not use NaijaBase. Your continued use after any updates to these Terms constitutes acceptance of the revised Terms.
Section 2
NaijaBase provides Backend-as-a-Service (BaaS) infrastructure for developers and businesses building applications. The NaijaBase platform includes:
Uptime commitment: We target 99.9% monthly uptime for paid plans. The free Starter plan carries no uptime guarantee. See Section 8 for full SLA details.
We reserve the right to modify, suspend, or discontinue any feature of the service with reasonable notice. We will not discontinue the core platform (database, auth, storage) without at least 60 days' notice to paid subscribers.
Section 3
To use NaijaBase you must register for an account. When registering, you agree to:
You are solely responsible for all activity that occurs under your account. If you suspect unauthorized access to your account or API keys, notify us immediately at ofatokun@telecitytech.com.
We reserve the right to suspend or terminate accounts that provide false information, appear to be duplicates, or violate these Terms.
Section 4
NaijaBase infrastructure may be used only for lawful purposes and in accordance with these Terms. You may not use NaijaBase to:
Violation of these acceptable use requirements may result in immediate suspension of your account without notice. We cooperate fully with Nigerian law enforcement authorities.
Section 5
NaijaBase offers the following subscription plans, billed monthly in Nigerian Naira:

How billing works:
We reserve the right to change pricing with a minimum of 30 days' written notice by email. Existing subscribers at the time of a price change will receive the stated notice period before the new price applies to their account.

The Starter plan is free forever and includes:
The free plan carries no uptime SLA, no data backup guarantee, and no support commitment. For production workloads or regulated applications, a paid plan is required.
Section 7
Your relationship with your data on NaijaBase:
You are solely responsible for ensuring that your use of NaijaBase and the data you store complies with applicable law, including the Nigeria Data Protection Act 2023 in respect of your end users' personal data.
Section 8
NaijaBase targets the following monthly uptime for paid plans:
What counts as downtime: Any period during which the core API endpoints are unavailable, measured over a calendar month.
What does NOT count as downtime:
SLA credits: If monthly uptime falls below 99.9%, you are eligible for credits of 10% of your monthly fee for each hour of excess downtime, up to a maximum of 30% of your monthly fee. Credits are applied to your next invoice and are not redeemable as cash. To claim a credit, contact ofatokun@telecitytech.com within 14 days of the incident.
Section 9
NaijaBase platform: The NaijaBase platform, brand, dashboard, APIs, and all underlying software are the exclusive intellectual property of Telecity Technologies Ltd. You may not copy, modify, distribute, or reverse-engineer any part of our platform.
Your content: You retain all intellectual property rights in your data, applications, and code. Nothing in these Terms transfers any ownership of your work to NaijaBase.
@naijabase/js SDK: The NaijaBase JavaScript/TypeScript client library (@naijabase/js) is released under the MIT License. You may use, modify, and distribute it freely according to the terms of that license.
Feedback: If you submit feedback, bug reports, or suggestions about NaijaBase, you grant us a perpetual, royalty-free license to use that feedback to improve our service.
Section 10
To the maximum extent permitted by Nigerian law:
Nothing in these Terms excludes or limits liability that cannot be excluded under Nigerian law (including liability for fraud or willful misconduct).
Section 11
You agree to indemnify, defend, and hold harmless Telecity Technologies Ltd, its directors, employees, and agents from and against any claims, damages, losses, costs, and expenses (including reasonable legal fees) arising from:
We reserve the right to assume exclusive control of any matter subject to indemnification, in which case you agree to cooperate with our reasonable requests.
Section 12
By you: You may cancel your NaijaBase subscription at any time from your account dashboard or by emailing ofatokun@telecitytech.com. On cancellation, your account remains active until the end of your current billing period. No prorated refunds are issued for the remaining period. After 30 days from the end of your billing period, your account and all project data are permanently deleted.
By us — with notice: We may terminate or suspend your account for material breach of these Terms. We will provide written notice and a reasonable opportunity to cure the breach where the nature of the breach allows it.
By us — immediate: We may suspend or terminate your account immediately and without prior notice for:
Data after termination: You have 30 days after termination to export your data. After 30 days, all project data is permanently and irrecoverably deleted. Billing records are retained for 7 years as required by law.
Section 13
These Terms are governed by and construed in accordance with the laws of the Federal Republic of Nigeria, without regard to its conflict of law principles.
Any dispute, controversy, or claim arising out of or relating to these Terms, or the breach, termination, or invalidity thereof, shall be subject to the exclusive jurisdiction of the courts of Lagos State, Nigeria.
Before commencing any legal proceedings, the parties agree to attempt resolution through good-faith negotiation and, if necessary, formal mediation. This does not prevent either party from seeking urgent injunctive relief.
Section 14
We may update these Terms from time to time. For non-material changes (clarifications, typographical corrections, additions that don't reduce your rights), we will update this page with a new effective date.
For material changes — those that meaningfully alter your rights or obligations — we will:
If you disagree with a material change, you may cancel your account before the effective date and receive a prorated refund of any prepaid fees for the period after the effective date. Continued use of NaijaBase after the effective date constitutes acceptance of the updated Terms.
